Principal Attorney

Marianne M. Miranda is the founder of MALDONADO MIRANDA, P.A., where she provides strategic legal solutions for clients navigating the intricacies of transnational commercial relationships. Marianne focuses her practice on corporate law, contracts, and legal compliance, fostering enduring client relationships by delivering personalized, proactive, and effective legal counsel.

Marianne carries a wealth of experience from her nearly 15 years as a practicing attorney in negotiating, drafting, and advising on a diverse range of legal matters including joint-ventures, Engineering, Procurement and Construction (EPC) agreements, distributorships, licensing, purchase of goods and services, and stock-purchase agreements. She has also represented multiple importers in the US and the Caribbean facing compliance issues relating to the entry of goods into the US.

Marianne’s career began as a complex commercial disputes attorney at McConnell Valdés, the largest law firm in the Caribbean, followed by joining the renowned international arbitration team at Astigarraga Davis in Miami, now Reed Smith. Her years as a complex dispute litigator gave her a unique insight into corporate matters, allowing her to anticipate and mitigate potential conflicts with strategies honed from real-world litigation experience. She has represented clients in high-stakes matters across a diverse range of industries including energy, oil & gas, manufacturing, aviation, hospitality, telecommunications, insurance, food & ingredients, media, construction, and biotechnology.

Throughout her career, she has advised startups, emerging, and expanding companies in various industries, combining her business-oriented mindset and legal acumen to support their growth, compliance, and operational goals. Her commitment to understanding each client’s unique needs has established her as a trusted external counsel for both established businesses and emerging ventures in the US.  

Marianne, fluent in English, Spanish and Portuguese, divides her time between South Florida, Rio de Janeiro, and Lisbon. Licensed in Florida and Puerto Rico, she bridges common law and civil law systems, ensuring comprehensive solutions for cross-border legal challenges.

Marianne graduated from Florida International University’s School of Journalism and Mass Communications. In her prior life, before beginning her legal career, Marianne lectured at the University of Colorado-Boulder, where she earned a master’s degree in Spanish literature, graduating with Honors. She also interned at the Cato Institute in Washington DC where she deepened her appreciation for sound public policy and free market principles. 

    • Worked as corporate counsel and provided strategic advice for development of commercial activity to group managing over 6000-acre real estate property subject to conservation easement.

    • Successfully handled extra judicial resolution involving the termination of distributorship between American distribution company and European based distributor.

    • Worked as fractional legal advisor for a Florida biotech start-up, advising in areas such as contracts, corporate governance, and regulatory compliance.

    • Provided corporate governance advice to a US-based consortium composed by several news and media companies in LatAm.

    • Handled several purchase-sale transactions and provided corporate governance advice to Venezuela and Brazil-based aviation companies engaged in business in the United States.

    • Conducted FCPA audits in multiple countries in the LatAm region on behalf of a US-based manufacturer.

    • Member of defense team of Puerto Rico financial analysis in numerous highly contested FINRA arbitrations relating to major losses in stock value of several closed-end funds;

    • Managed extensive administrative, regulatory matters for US importers before the Consumer Product Safety Commission (CPSC) and US Customs and Border Protection (CBP). 

    • Successfully represented US importer throughout EPA investigation, site inspection and administrative proceedings.

    • Advised corporate counsel for import firms in the food and ingredient industry.

    • Advised Brazil based contractor on various contractual issues pursuant to a $1.7B Engineering, Procurement and Construction Agreement;

    • Led internal corporate audit in a Colombia subsidiary on behalf of a US parent company, and worked with local counsel through liquidation of foreign corporate entity.

    • Successfully represented a US reinsurer in a $7MM arbitration dispute with a Peru-based Insurance Carrier. 

    • Managed and advised US importers of record during inspection and detention of entries, and site inspections by federal agencies such as CPSC and EPA.

    • Worked with local counsel in Argentina to assist a US-based client facing tax evasion investigation.

    • Represented Brazil-based distributor in breach of contract matter against US based manufacturer of healthcare products and equipment. 

    • Advised South American aviation company establishing new operations in the United States.

    • Served as counsel in multiple aviation purchase-sale transactions for South America and US-based clients.

    • Represented shareholders in a contentious sale of stock in a Florida-based company.

    • Served as strategic consultant to the Puerto Rico Secretary of the Department of Consumer’s Affairs.

    • Establishment of a compliance department for growing small Florida-based businesses. 

    • Represented both buyers and sellers in multiple purchase-sale transactions of business interests in Florida.
